On September 15, 2019, Company A (in Vietnam) sent a proposal to sign a contract to Company B (Japan) to sell 10 tons of Robusta coffee for $2000/ton, the deadline for the final reply is
September 30, 2019 (until 5pm Vietnamese time).
On September 28, 2019, company B faxed to A, saying that company B agree to buy 10 tons of
coffee above for $ 1900 /ton. Receiving the fax from B, A did not answer. At 3:30 pm on
September 30 (Vietnamese time), B decided not to buy anymore because the coffee price on
the market dropped suddenly, and immediately faxed it to A.
1. Company A conducts delivery and B does not pick up the goods. Does B breach the contract?
2. Assuming the contract between A and B was signed; the parties agree that the delivery date
is October 30, 2019. On October 2, 2019, Party A announced that in Vietnam it was raining, the
weather became severe so it was impossible to harvest coffee and therefore company A could
not deliver on time. Party B does not agree. In your opinion, Is the Party A responsible to
compensate for Party B?
